Closing a Professional Medical Corporation

Section 31 (4) and (5) of the Medical Act, 2011 (the “Act”) provides as follows:

  • A corporation shall not use the words “professional medical corporation” or an abbreviation of those words as part of its corporate name unless it is registered and licensed as a professional medical corporation under this Act; and
  • A corporation shall not provide the services of a medical practitioner unless it is registered and licensed under this Act.

Physicians closing their Professional Medical Corporation should forward to the College one of the following:

  1. A Certificate of Amendment from the Registry of Companies for the Province of Newfoundland and Labrador outlining the following has been completed:
    1. changing the name of the corporation to remove any reference to a “Professional Medical Corporation” (or an abbreviation of those words); and
    2. amending the services the corporation may provide, to remove the language restricting the services to those of a medical practitioner or related matters.
  2. A Certificate of dissolution from the Registry of Companies for the Province of Newfoundland and Labrador; or
  3. A Certificate of Discontinuance from the Registry of Companies for the Province of Newfoundland and Labrador.
